Commercial law is a special branch of private law and its objective is to regulate commerce. It is distinguished in the National and International Commercial Law, two fields closely associated.

It includes the rules of law related to commercial acts and merchants and it comprises all rules, provisions and principles regulating the legal aspects of commercial relations and exchanges.

Commercial law deals with issues such as: industrial property rights, competition, commercial companies, bankruptcy, stocks, stock exchange, banks, commercial contracts etc. More specifically, the commercial law is sub-divided in various sectors:

• Stocks’ law
• Bankruptcy law and reorganization law of businesses
• Insurance law
• Commercial contract law without legislative autonomy
• Maritime law
• Transportation law
• The “preventive” presence of a lawyer in transactions is certainly more effective than the lawyer’s involvement after disputes and other problems have arisen.

The lawyer’s role in commercial relations is not only to “closely” protect the principal’s interests but also to secure that the commercial transaction will be fair without vagueness. In this way the possibilities for one or the other party to suffer a loss, and therefore, to reach a major dispute are restricted.
